REDWOOD LIVING, INC. CHARITABLE GIVING CONTEST OFFICIAL RULES 1. NO PURCHASE NECESSARY TO ENTER OR WIN. 2. HOW TO ENTER: Beginning on May 9, 2022 at 9:00 a.m. Eastern Time (ET) through June 10, 2022 at 5:00 p.m. Eastern Time (ET), Eligible Entrants (as defined herein) may log on to https://bit.ly/RedwoodCaresProgram, and follow the on-screen entry instructions. All required information must be completed. Each individual may enter only once. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries and result in disqualification. Entry more than one time using multiple email addresses, identities, or devices in an attempt to circumvent the rules is also prohibited. By entering this contest, each entrant accepts and agrees to these Official Rules, and gives permission to the Redwood Living, Inc. (“Redwood”) to use his/her name, likeness, submissions and biographical information for marketing purposes without further compensation, review, permission or right of approval, unless prohibited by law. All federal and state laws apply. 3. ELIGIBILITY: Open to residents of the 50 United States and D.C., 18 years of age and older as of May 9, 2022 who, as of the date of entry, are employed directly by Redwood (“Redwood Employee”), reside in a Redwood neighborhood (“Redwood Resident”), or has an ownership interest in a Redwood-affiliated LLC (“Redwood Investor” and together with Redwood Employees and Redwood Residents, “Eligible Entrants”). Void where prohibited. 4. SELECTION PROCESS: Eligible Entrants who wish to participate, must submit a written entry containing the following information: (i) the Entrant’s relationship to Redwood (specifically, an employee, a resident or an investor – each an “Eligible Relationship”); (ii) the name and location of the nominated non-profit organization (i.e., an organization that does not pay out any part of its net earnings to any private shareholder or individual) (each, a “Charitable Cause/Program”); (iii) the Charitable Cause/Program’s values and how they align to Redwood’s core values; (iv) what the Charitable Cause/Program means to the Entrant; (v) the Entrant’s involvement in the Charitable Cause/Program; (vi) how the Charitable Cause/Program has impacted the community; (vii) how the Charitable Cause/Program has impacted the life of the Entrant and/or the lives of those close to the Entrant; (viii) how the Entrant has impacted others in connection with work on behalf of the Charitable Cause/Program; and (ix) how any funds awarded would be used by the Charitable Cause/Program. The odds of winning depend on the number of entries received. Each written entry meeting the foregoing requirements will be evaluated and assessed a score by a selection committee based on the following criteria: (i) the quality of the content, messaging, and storytelling; (ii) the originality and creativity of the submission; and (iii) the presentation of the submission. Potential winners will be notified by email, and must sign and return any required Affidavit of Eligibility and Release within fourteen (14) days of the date notice is sent or other such date set by Redwood. Failure to respond within the applicable time period will result in forfeiture of prize and Redwood shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. Any income taxes resulting from acceptance of prize are the responsibility of winner. Each entrant accepts and agrees the decisions of Redwood, which shall be final in all matters. Acceptance of a prize also constitutes permission to the Redwood to use winners’ names, likenesses, submissions, and biographical information for marketing purposes without further compensation, review, permission or right of approval, unless prohibited by law. All federal and state laws apply. 5. LIMITATION OF LIABILITY: By entering this contest, entrants waive all right to, and hold Redwood harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys’ fees) arising out of or in connection with participation in this contest or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO ALL ENTRANTS. Redwood will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive prize notices due to entrant's spam, junk e-mail, or other security settings or for entrants’ provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this contest; by any human error which may occur in the processing of the entries in this contest; or any typographical, technological, or other error in the publishing of the offer, administration of the contest, or announcement of the prizes. If, in Redwood’s opinion, there is such an error, or if technical difficulties (including viruses and bugs) compromise the integrity of the contest, Redwood reserves the right, in its sole discretion, to cancel or modify this contest in a manner it deems appropriate. In the event of termination, winners will be selected from among all eligible entries received as of date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the online entry form. 6. PRIZES: A first and second place will be awarded in each Eligible Relationship Category (e.g. two employees, two residents and two investors); the first place prizes will comprise of a ten thousand dollar ($10,000) donation by Redwood to the Charitable Cause/Program nominated and the second place prizes will comprise of a five thousand ($5,000) donation by Redwood to the Charitable Cause/Program nominated. In addition, Redwood will provide reasonable resources in support of filming and producing video content related to the three Charitable Cause/Programs awarded first prizes, including internal and external publication of the content; Redwood estimates the retail value of foregoing to be approximately one thousand dollars ($1,000.00).Redwood will also recognize, internally and externally, the three Charitable Cause/Programs awarded second prizes (but no support will be provided in connection with filming and producing video content related to these Causes/Programs); the retail value of the foregoing is negligible. Total value of all prizes is approximately ninety-six thousand dollars ($96,000). Any video content produced in connection with prizes awarded shall be the property of Redwood. Limit one prize per family or household. No substitution or transfer of prize permitted by winner. Redwood reserves the right to substitute a prize of equal or greater value. All prizes will be awarded. If a potential winner is disqualified for any reason, Redwood will award the applicable prize to an alternate winner as follows: if the disqualified winner was awarded the first prize, the second prize winner will receive the first prize and the second prize will be awarded to the individual in the respective category who was assessed the third highest score; and if the disqualified winner was awarded the second prize, the second prize will be awarded to the individual in the respective category who was assessed the third highest score. In the sole discretion of Redwood, if there are multiple disqualifications in a category of prize winners, the prize(s) may remain un-awarded. 7. CHOICE OF LAW AND FORUM: Entrant agrees that all matters arising out of or relating to this contest and these Official Rules are governed by, and construed in accordance with, the laws of Ohio, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that the state and federal courts located in the Cuyahoga County, Ohio shall have jurisdiction in any action, suit or proceeding based on or arising out of this contest and these Official Rules and hereby: (a) submits to the personal jurisdiction of such courts; (b) consents to service of process in connection with any action, suit or proceeding; and (c) waives any other requirement (whether imposed by statute, rule of court or otherwise) with respect to personal jurisdiction, venue or service of process. 8.
